1. Agreement to These Terms

These Terms of Use (the "Terms") are a binding agreement between you and LEARNING SYSTEMS, LLC, a Georgia limited liability company doing business as MyPetroSkills.com ("MyPetroSkills," "we," "us," or "our"), the owner and operator of MyPetroSkills.com and its related pages, courses, and services (together, the "Site"). By visiting the Site, creating an account, or enrolling in any course, you accept these Terms and the Privacy Policy included at the end of this document. If you do not agree with them, do not use the Site.

If you use the Site on behalf of a company, you represent that you have authority to bind that company, and "you" includes the company. The Site is intended for users who are 18 years of age or older.

2. What the Content Is — and What It Is Not

MyPetroSkills publishes training and reference material for people who work in and around the petroleum industry. Every course, video, document, quiz, illustration, certificate, and piece of reference material on the Site (the "Content") is provided for general informational and educational purposes only.

The Content is not:

  • professional engineering, safety, legal, regulatory, financial, or operational advice;
  • a substitute for any training, certification, or license required by law, by a regulator, or by your employer;
  • a substitute for equipment manuals, manufacturer instructions, employer procedures, site-specific safety programs, or applicable laws and regulations; or
  • a qualification to perform any task or job function.

Completing a course on the Site does not make you certified, licensed, or qualified to do anything. Certificates issued through the Site record course completion only and confer no professional credential.

3. You Must Verify Everything Independently

Petroleum operations involve hazardous environments: flammable and toxic materials, high pressures, heavy equipment, confined spaces. Acting on wrong, incomplete, or outdated information can cause serious injury, death, property damage, and environmental harm.

Before you apply anything you learn on this Site, you must independently verify it against authoritative sources, including applicable laws and regulations, recognized industry standards (such as API, OSHA, and IADC publications), manufacturer documentation, and your employer's procedures and permits. If the Content conflicts with any of those sources, those sources control. Not the Content.

You are solely responsible for how you use the Content, and you assume all risk arising from that use. We try to keep the Content useful, but we make no promise that it is accurate, complete, current, or suited to your situation, and we have no obligation to update it.

4. Our Intellectual Property

The Site and all Content — including courses, curricula, videos, audio, text, graphics, illustrations, quizzes, certificates, logos, trademarks, page designs, software, and all marketing and promotional material — are the exclusive property of MyPetroSkills or its licensors and are protected by copyright, trademark, and other intellectual-property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and view the Content through the Site for your own training. That is the only right you receive. You may not:

  • copy, duplicate, reproduce, download, scrape, record, screen-capture, or extract the Content, in whole or in part;
  • distribute, publish, share, sell, rent, sublicense, or otherwise make the Content available to any third party;
  • use the Content to build training materials, courses, datasets (including data for training artificial-intelligence models), or any competing product or service;
  • modify the Content or create derivative works from it; or
  • remove or alter any copyright, trademark, or proprietary notice.

Any use of the Content not expressly allowed by these Terms is prohibited and automatically terminates your license. We reserve the right to pursue all legal remedies for unauthorized use, including damages and injunctive relief. "MyPetroSkills" and related names and logos are our trademarks and may not be used without our prior written consent.

5. Your Account

You are responsible for your account. Provide accurate registration information and keep it current. Keep your login credentials confidential. Accounts are personal: one person per account, and credentials may not be shared or transferred. You are responsible for all activity that occurs under your account, and you must notify us promptly of any unauthorized use. We may suspend or terminate any account at our discretion, with or without notice, including for any violation of these Terms.

6. Acceptable Use

When using the Site, you agree not to:

  • violate any applicable law or regulation;
  • use bots, crawlers, scrapers, or other automated means to access the Site or collect Content;
  • reverse-engineer, decompile, or attempt to extract the source code of the Site or its software;
  • circumvent or attempt to circumvent any access controls, paywalls, or content protections;
  • interfere with the operation or security of the Site, or introduce viruses or other malicious code;
  • impersonate any person or entity, or misrepresent your affiliation with one;
  • frame, mirror, or embed any part of the Site without our written consent; or
  • use the Site in any way that could damage, disable, or impair it.

7. Fees, Subscriptions, and Refunds

Access to the Site is currently free of charge. We may introduce paid courses, subscriptions, or other fees at any time. When we do, the following applies:

  • Prices, billing terms, and any auto-renewal terms will be disclosed at the point of purchase, and by completing a purchase you agree to them.
  • Payments are processed by third-party payment processors; we do not store full payment card details.
  • Except where expressly stated at purchase or required by applicable law, all fees are non-refundable, including for partially completed courses.
  • Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation stops future billing but does not entitle you to a refund of amounts already paid.
  • We may change prices at any time; changes apply prospectively, not to amounts already paid.
  • You are responsible for any applicable taxes.

8. Feedback and Submissions

If you send us feedback, suggestions, comments, quiz responses, or other material, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose, including improving the Site and developing new courses, without compensation or attribution. Do not submit anything confidential or anything you do not have the right to share. We may remove any submission at our discretion.

9. Third-Party Materials and Links

The Site may reference or link to third-party websites, standards, publications, tools, or services. We do not control them, do not endorse them, and are not responsible for their content, accuracy, or practices. Your use of third-party materials is at your own risk and subject to their terms. References to industry standards or regulations are for convenience only; always consult the official, current version from the issuing body.

10. Privacy

Our collection and use of personal information is described in the MyPetroSkills.com Privacy Policy, which is set out at the end of this document and is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of information as described there.

11. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE CONTENT IS ACCURATE, COMPLETE, CURRENT, OR ERROR-FREE; THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR FREE OF VIRUSES; OR THAT ANY DEFECT WILL BE CORRECTED. NO ADVICE OR INFORMATION OBTAINED FROM THE SITE, WHETHER ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYPETROSKILLS AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, ENVIRONMENTAL DAMAGE, LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SITE, THE CONTENT, OR YOUR USE OF OR RELIANCE ON EITHER, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID US FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the exclusions and limitations above apply to the fullest extent the law allows. The limitations in this section are a fundamental basis of the bargain between you and us; the Site would not be offered without them.

13. Assumption of Risk

You acknowledge that work in the petroleum industry is inherently hazardous, that the Content is general educational material and not site-specific instruction, and that you alone are responsible for applying proper procedures, using proper equipment, and complying with applicable law in your work. To the fullest extent permitted by law, you knowingly and voluntarily assume all risks arising from your use of, or reliance on, the Site and the Content.

14. Indemnification

You agree to defend, indemnify, and hold harmless MyPetroSkills and its owners, members, officers, employees, contractors, licensors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or the Content; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any injury, death, or damage connected to your application of anything learned through the Site.

15. Dispute Resolution — Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

Any dispute arising out of or relating to these Terms, the Site, or the Content that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its rules, conducted in DeKalb County, Georgia, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small-claims court, and we may seek injunctive relief in court for any violation of our intellectual-property rights.

YOU AND MYPETROSKILLS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. For any matter not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in DeKalb County, Georgia.

17. Termination

We may suspend or terminate your access to the Site at any time, with or without cause or notice. You may stop using the Site at any time. Upon termination, your license to the Content ends immediately, and any provisions that by their nature should survive — including Sections 4, 8, and 11 through 16 — will survive.

18. Changes to the Site and These Terms

We may change, suspend, or discontinue any part of the Site at any time, including any course or feature, without liability. We may also revise these Terms from time to time. The updated version will be posted on the Site with a new "Last updated" date, and material changes may be announced by notice on the Site or by email. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

19. Copyright Complaints

If you believe material on the Site infringes your copyright, send a notice complying with the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent at info@MyPetroSkills.com. We respond to valid notices and may terminate the accounts of repeat infringers.

20. General Terms

These Terms, together with the Privacy Policy and any terms presented at purchase, are the entire agreement between you and MyPetroSkills regarding the Site. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the rest remains in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms; we may assign them freely, including in connection with a sale of the business. We are not liable for delay or failure caused by events beyond our reasonable control. You consent to receive notices and communications from us electronically.
